Effective date: 12 February 2026. These terms govern access to Orix services, website usage, and commercial engagements.

These Terms and Conditions ("Terms") apply to all users of the Orix Marketing website and to clients engaging Orix Marketing for consulting or implementation services. By accessing this website or engaging our services, you agree to these Terms.

1. Company and Jurisdiction

Orix Marketing Limited (Companies House registration number 15003683) is registered in England and Wales. Unless otherwise agreed in writing, engagements through this regional website (orixmarketing.co.uk) are governed by the laws of England and Wales, subject to any mandatory legal requirements applicable to international client jurisdictions. orixmarketing.co remains the global website.

2. Service Scope

Service scope is defined in proposals, statements of work, or service agreements. Deliverables, timelines, and responsibilities are valid only where documented and formally accepted by both parties.

3. Client Responsibilities

Clients must provide timely access to required systems, information, decision-makers, and approvals. Delays in client obligations may affect timelines and outcome delivery without constituting breach by Orix.

4. Fees and Payment

Fees, credit structures, and payment schedules are specified in contractual documents. Invoices are payable within agreed terms. Late payments may result in service suspension, interest charges where lawful, and revised delivery schedules.

5. Intellectual Property

Unless explicitly assigned in writing, Orix retains ownership of proprietary frameworks, methodologies, templates, and pre-existing materials. Client-owned data and approved brand assets remain client property.

6. Confidentiality

Both parties shall keep confidential information secure and shall not disclose such information except as required for service delivery or as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Orix shall not be liable for indirect, incidental, special, or consequential losses. Aggregate liability is limited to fees paid for the relevant service period, except where law requires otherwise.

8. International Clients

For international engagements, parties may agree additional contractual clauses for data protection, payment, tax, and dispute handling obligations based on jurisdictional requirements.

9. Termination

Either party may terminate according to agreement terms. Fees for completed work, committed resources, or non-cancellable third-party obligations remain payable.

10. Amendments

Orix may update these Terms periodically. Revised Terms become effective when published unless a separate contractual agreement specifies otherwise.
